A combined company would bring together PayPal’s massive user base and merchant relationships with Stripe’s developer-first tooling, potentially creating a single, end-to-end stack that could reduce the need for developers to stitch together multiple providers.

If the merger proceeds, developers might see:

The current bid offers a clear exit premium for shareholders who have watched the stock tumble.

At the same time, CEO Enrique Lores, who took the helm in March, is reshaping the company. Lores split the business into three units—checkout, consumer financial services (including Venmo), and payments & crypto—aiming to simplify operations and spur growth. Risks and counter-arguments

The proposal is still a report; no final agreement has been signed. A merger of this scale would have to clear antitrust scrutiny, and regulators could raise concerns about market concentration in the payments space.

Even if approved, integrating two massive, culturally distinct organizations is notoriously difficult. Stripe’s developer-centric culture differs from PayPal’s legacy operations, and past tech-industry mergers have shown that promised synergies often take years to materialize, if they materialize at all.

From PayPal’s side, the Lores-led restructuring could still deliver value. The three-unit model gives each segment clearer profit-and-loss accountability, and the company has already begun rolling out new consumer-financial products that could open fresh revenue streams. If those initiatives gain traction, the premium offered by Stripe and Advent might look less attractive in hindsight.
